Terms of Service
The agreement for the subscription: what you get, what it costs, renewals, usage, credits, and the limits of our liability.
1. Agreement
These terms are a contract between Redline Design LLC ("Redline") and the business that subscribes to Redline AI/SEO Wizard ("you"). By creating an account, ticking the box at signup, or using the service you accept them, the Privacy Policy, the Acceptable Use Policy and the Refund Policy, which are part of these terms. If you sign up on behalf of a business you confirm you may bind it.
2. The service
Redline provides a hosted software service that crawls your website, checks your Google presence and visibility in AI search engines, reports the findings, and recommends and (where you approve) carries out fixes. We may change features as the product develops; we will not materially reduce the core service during a paid period without notice.
Recommendations are our professional opinion based on automated checks. Search engines and AI engines change constantly and we do not guarantee rankings, traffic, leads, or that any engine will mention your business.
3. Subscription, billing and renewal
The subscription is billed monthly in advance through Stripe at the price shown at signup, plus applicable taxes. It renews automatically each month until cancelled.
You can cancel at any time from Billing in the portal. Cancellation takes effect at the end of the current paid month; you keep access until then. We do not pro-rate partial months except as the Refund Policy says.
If a payment fails we retry, email you, and may suspend access after the retries fail. Access resumes when payment succeeds.
We may change the price with at least 30 days' email notice; the new price applies from your next renewal after that notice. Promotional codes are for the use they were issued for and may be withdrawn if misused.
4. Usage allowance and prepaid credits
Each subscription includes a monthly allowance of automated checks (audits, AI engine queries, ranking checks). The portal shows your use as a percentage; when it reaches 100% further checks pause until the month resets or you buy credits. Site crawls and reports do not count against the allowance.
Credits are sold in packs of $50, charged immediately through Stripe, and are applied oldest-first to checks beyond the allowance. Credits expire 6 months after purchase and are not refundable, transferable or redeemable for cash. The allowance does not roll over.
The cost deducted for each check is shown before you run it and in your usage history. We may adjust those rates as our provider costs change; a change never applies to work already started.
4a. Locations
The subscription includes up to three business locations (storefronts, offices or service areas). Each additional location you add in the portal is $100 per month, added to your subscription automatically and prorated from the day it is added; removing one stops the charge and credits the unused part of the month. Each location gets its own ranking and visibility checks, which draw on the same monthly allowance.
5. Your account and team
Keep your sign-in private and tell us promptly about any unauthorised use. You are responsible for everything done under your account, including by team members you invite. Owners can add and remove members; members can see the business's data but cannot change billing.
6. Your content and connected accounts
You keep ownership of your website, data and content. You grant Redline a licence to access and process them to provide the service. You confirm you have the right to connect any Google property or social account you connect, and that doing so does not breach another party's terms.
Where you approve a recommendation that changes your website, listing or profile, you authorise Redline to make that change. You can review the list of approved changes in the portal at any time.
7. Our property
The software, the audit methodology, the scoring, the reports' format and the Redline marks belong to Redline. Reports produced for you may be used by you for your business. You may not resell the service, scrape it, reverse-engineer it, or use it to build a competing product.
8. Acceptable use
Use is subject to the Acceptable Use Policy. We may suspend or end an account that breaches it, after notice where practical.
9. Third-party services
The service depends on Google, Stripe, AI providers and others. Their availability and terms are outside our control; an outage or change at a provider is not a breach by Redline, but we will work around it where we reasonably can.
10. Warranties and disclaimer
We will provide the service with reasonable care and skill. Otherwise it is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and that results will be achieved. Nothing here excludes warranties that cannot be excluded by law.
11. Limitation of liability
To the fullest extent the law allows, Redline's total liability for any claim arising from the service in any 12-month period is limited to the fees you paid for the service in that period. Neither party is liable for indirect, consequential, special or punitive damages, or for lost profits, revenue, data or goodwill, even if advised they were possible. These limits do not apply to a party's fraud, gross negligence, wilful misconduct, or to liability that cannot be limited by law.
12. Indemnity
You will defend and indemnify Redline against claims arising from your content, your connected accounts, your breach of these terms, or your violation of law or of a third party's rights.
13. Term and termination
These terms last while you have an account. You may close it at any time from Billing. We may end it on 30 days' notice, or immediately for non-payment or a material breach not cured within 10 days of notice. On termination your access ends; data retention is as set out in the Privacy Policy. Sections 7, 10, 11, 12, 15 and 16 survive.
14. Changes to these terms
We may update these terms. We will post the new version here and email account owners at least 14 days before a material change takes effect. Continued use after that date is acceptance; if you disagree, cancel before it.
15. Governing law and disputes
These terms are governed by the laws of the State of Utah without regard to its conflict-of-law rules. Before filing a claim, each party agrees to try to resolve the dispute by contacting the other in writing and talking in good faith for 30 days. Any claim not resolved will be brought in the state or federal courts in Salt Lake County, Utah, and both parties consent to that jurisdiction. Either party may seek an injunction for misuse of its intellectual property anywhere.
16. General
These terms and the policies they reference are the whole agreement for the service and replace any earlier discussion. If a term is unenforceable the rest stands. Neither party is liable for delay caused by events outside its reasonable control. You may not assign these terms without our consent; we may assign them to a successor. Notices go to the account owner's email and to redline@redline.design.
